Terms of Service

By purchasing or using any service offered by Outsource-IQ ("we," "us," or "our"), you ("Client") agree to the following Terms of Service. Please read them carefully before proceeding.

1. Scope of Services

Outsource-IQ provides AI integration setup, configuration, and optimization services for small and medium-sized businesses. Our role is limited to:

• Setting up and configuring third-party AI platforms on your behalf
• Training AI tools using information you provide about your business
• Performing up to 3 configuration updates during the 30-day optimization window
• Providing handoff training so you can manage the tools independently

We are a setup and integration service. We do not own, operate, or guarantee the performance of any third-party platforms used in your integration.

2. Third-Party Platform Fees

Our setup fee covers our labor and expertise only. The AI platforms, telephony providers, SMS services, advertising networks, and other third-party tools we integrate are independent services with their own pricing. By engaging Outsource-IQ, you acknowledge and agree that:

• Third-party platform fees are your responsibility and are billed directly to you by those providers
• We will disclose the relevant platforms and estimated costs before beginning your setup
• Outsource-IQ is not liable for any charges, overages, or billing issues from third-party providers
• Changes in third-party pricing or availability are outside our control

3. Payment Terms

All setup fees are due in full at the time of purchase. Payments are non-refundable once work has begun. The Care Plan ($99/month) is billed monthly and may be cancelled at any time with no penalty. Outsource-IQ reserves the right to pause or terminate services for accounts with unpaid balances.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information about your business for training and configuration
• Create and maintain necessary accounts with third-party platforms as directed
• Ensure you have the legal right to use any content, scripts, or materials you provide to us
• Comply with all applicable laws, including telemarketing, SMS, and advertising regulations
• Not use our services for any unlawful, deceptive, or harmful purpose

5. No Guarantee of Results

Outsource-IQ makes no guarantees regarding specific business outcomes, revenue increases, lead volumes, or ROI. AI tools are powerful but results depend on many factors outside our control, including your industry, market conditions, offer quality, and how you manage the tools after handoff. We commit to quality setup and optimization — not specific performance outcomes.

6. Limitation of Liability

To the maximum extent permitted by law, Outsource-IQ's total liability to you for any claim arising out of or related to our services shall not exceed the amount you paid us in the 30 days preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including lost revenue or data loss, even if advised of the possibility of such damages.

7. Intellectual Property

Any configurations, scripts, or workflows we build for you are yours to use and manage once delivered. However, our proprietary processes, templates, and methodologies remain the intellectual property of Outsource-IQ and may not be resold or redistributed without written permission.

8. Confidentiality

We treat all business information you share with us as confidential and will not disclose it to third parties except as necessary to complete your integration (e.g., configuring your account on a platform). We will never sell your data.

9. Termination

Either party may terminate the service relationship at any time. If you terminate before your integration is complete, no refund will be issued for work already performed. If we terminate due to your violation of these terms, no refund will be issued.

10. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Utah County, Utah.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We will note the date of the most recent update at the top of this page.
